Verification Of Registered Capital

The verification of registered capital is a verification of the actual receipt or alteration of the registered capital of the verification unit.

１、货币资金出资 以货币资金方式出资的，应注意： （１）货币资金出资清单必须与发起人协议、章程等的规定相一致；（２）投资者认缴的投资款必须按规定如数、如期缴入被审验单位开立的临时帐户；（３）收款单位必须为被审验单位；（４）缴款单位必须为被审验单位的投资者；（５）缴付款项的用途为投资款；（６）投入货币的币别必须符合发起人协议、章程的规定；（７）银行回单必须加盖收讫章或转讫章，并要求银行出具询证函；（8）以外币投入的，当投资的币别以被审验单位的记帐本位币不一致时，必须审验其折算汇率是否符合有关财务会计制度以及合同、协议、章程的规定。

２、实物资产投资 以房屋建筑物、机器设备和材料等资产出资的，应注意：（１）实物资产出资清单填列的实物资产品名、规格、数量、质量和作价依据等内容应与发起人协议、章程的规定一致；必须经被审验单位验收签章并获得各投资者的确认；（２）实物资产的交付方式、交付时间及交付地点必须符合合同、协议、章程的规定；（３）投资者以房屋建筑物出资时，应提供房屋、建筑物的平面图、位置图，房屋、建筑物的产权应为投资者所有；（４）以机器设备和材料等实物资产出资的，应提供制造厂家或销售商的发票及销售货物证明、厂家或销售商的营业执照复印件；（５）以房屋建筑物、机器设备和材料等实物资产出资的，属国有资产的，应当经具有资产评估资格的评估机构评估，评估结果应当获得国有资产管理部门的确认；如果不属与于国有

３、无形资产出资 以土地使用权、工业产权和非专利技术等无形资产出资的，应注意：（１）无形资产出资清单填列的内容必须与发起人协议、章程等的规定相一致；（２）以工业产权和非专利技术出资的，提交的相关资料如名称、专利证书、商标注册证书、有效状况、作价依据必须齐全；应当经被审验单位和各投资者确认；并办理财产权转移手续；（３）以土地使用权出资的应取得土地使用权证明和土地平面位置图，核实其名称、地点、面积、容积率、用途、使用年限及作价依据应当正确；应经被审验单位和各投资者确认；经过土地管理门批准转让；应办理土地使用权证明的变更登记手续；（４）土地使用权、工业产权及非专利技术的有效年限应短于被审验单位的经营年限；（５）以无形资产（不含土地使用权）出资的，除非国家另有规定，其投资
